Hardware & Software Terms of Sale
Introduction
These terms of sale ("Terms") govern the purchase of hardware and software products ("Products") from AGI Sense. Please read these Terms carefully before making a purchase.

- "Seller" refers to AGI Sense, the seller of the Products.
- "Buyer" refers to the purchaser of the Products.
Quotations
Quotations provided by the Seller are valid for the period specified in the quotation. Quotations do not constitute an offer, and the Seller reserves the right to modify or withdraw quotations at any time.
Purchase Orders and Invoices
Purchase orders issued by the Buyer are subject to acceptance by the Seller. The Seller will provide invoices to the Buyer for accepted purchase orders. Payment terms and methods will be specified in the invoice.
Returns and Exchanges
If the Buyer wishes to return or exchange a Product, please refer to our "Return and Exchange Policy" for detailed instructions and eligibility criteria.

Refund Policy
At AGI Sense, we strive to provide high-quality hardware products to our customers. We want you to be completely satisfied with your purchase. That's why we offer a 30-day return policy for any hardware purchased at retail pricing as listed on AGI Sense's website.
Please note that this return policy is applicable to hardware products only and does not apply to software or services.
To be eligible for a refund, please ensure that your return meets the following criteria:
- The product being returned is in transit to AGI Sense within 30 calendar days of its delivery to you.
- The product being returned was purchased directly from AGI Sense.
- The retail price of the product being returned is less than $70,000.
- You have returned no other products ordered in the 365 calendar days preceding the date that the product being returned was purchased.
- The product being returned contains no NVIDIA Tesla GPUs.
- The product being returned is not customized or discounted; that is, the product’s configuration was available on AGI Sense’s public E-Commerce platform at the date of its purchase.
- The product being returned was shipped from AGI Sense to a location within the USA.
- The product is being returned from a location within the USA.
- The product being returned is in its original packaging and condition.
- You have contacted Support and obtained a return merchandise authorization number (RMA number). The RMA Number will be associated with a specific AGI Sense Return Facility return address.
If all the above conditions are met, AGI Sense will pay the cost of shipping the return. AGI Sense will not purchase insurance on this shipment unless paid for by the customer.
If any of the conditions mentioned above are not met, AGI Sense reserves the right to deny the return. Additionally, the shipping cost of the return and a 15% restocking fee may be applied at the sole discretion of AGI Sense.
Please note that AGI Sense is not responsible for any risk of loss and shipping damages for returns. Title passes to AGI Sense upon receipt of goods from the customer at the AGI Sense Return Facility address.
Cloud Terms of Service
Welcome to AGI Sense's Cloud Services! These Cloud Terms of Service (the 'Agreement') govern your use of AGI Sense's cloud services. By using our cloud services, you agree to comply with and be bound by this Agreement. If you do not agree to these terms, please do not use our cloud services.

AGI Sense may terminate or suspend your access to our cloud services at any time, with or without cause. You may also terminate your use of our services at any time. Upon termination, your right to access or use our cloud services will cease immediately.
6. Disclaimer of Warranties
AGI Sense's cloud services are provided 'as is' and without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
In no event shall AGI Sense be liable for any indirect, special, incidental, consequential, or punitive damages, including but not limited to lost profits, arising out of or in connection with your use of our cloud services.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
